Terms And Conditions Of Sale - Event Catering

The following are the terms (“Terms”) on which Miss Ingredient (business) (“I” or “my”) have agreed to supply food catering and delivery services (“Products”) to you (“you” or “your”). 
Miss Ingredient refers to myself, Katrina Whittaker, a sole trader based in England. My registered business address is 3 Nethercote Meadow, Long Compton, CV36 5LL.
1 Orders
1.1 You may place an order for my Products by Email, Social Media Message or telephone. No order submitted by you shall be binding to me unless and until I have sent you an email confirmation accepting the same (“Confirmation”). 
1.2 You shall be responsible for ensuring the accuracy of the terms of any order and for checking that the Confirmation is correct. 
1.3 Once I send you the Confirmation, you may not cancel your order except with my consent. It will be a condition of my consent that you reimburse me for all costs I have incurred in processing your order. 
1.4 These Terms shall apply to the exclusion of any terms that you seek to impose. 
1.5 For weddings you must ensure that you have valid wedding insurance covering cancellations.
 
2 Products
2.1 I will use reasonable endeavours to ensure that your order fits the quantities and description requested, as set out in the Confirmation, although minor variations may occur. 
2.2 Where you require us to make Products specifically to your requirements (“Customised Products"), I shall discuss this matter with you and my methods prior to making the product.  
2.3 I will take reasonable steps to pack the Products and to ensure that the Products will be in good condition when they are delivered to you.
2.4 I warrant that when the Products are delivered they will:
2.4.1 conform in all material aspects with their description or any sample we provided to you; 
2.4.2 be of satisfactory quality; 
2.4.3 be fit for human consumption; and 
2.4.4 comply with all applicable statutory and regulatory requirements for selling the Products in the United Kingdom. 
2.5 This warranty does not apply:
2.5.1 to any defect in the Products arising from wilful damage, accident or negligence by you or any third party; 
2.5.2 if you store or use the Products in a way that I do not recommend; or 
2.5.3 if you fail to follow my instructions in relation to the Products. 
2.6 In the unlikely event that the Products do not conform with the above warranty I will work with you to provide a resolution.
2.7 These terms will apply to any replacement Products I supply to you. 
 
3 Consumer Rights
3.1 Where you are a consumer, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 (“Regulations”) will not apply to this terms as the Products are made bespoke to your requirements. 
 
5 Price and Payment
5.1 The price for the Products shall be the price agreed when the Products are ordered from me as set out in the Confirmation. The price on Confirmation is specific to your order, including guest numbers, menu and requirements. If changes are made to any of these then the price is liable to change.
5.2 All prices given by myself are excluding additional costs for requests outside of the initial order. 
5.3 I accept payment by BACS, or cash.  
5.4 I require a 10% deposit upfront to confirm the date. The balance payment is due 14 days prior to delivery. 
5.4.1 If you fail to pay payments when due, I reserve the right to cancel your order. 
5.5 From the date which you receive your final invoice, you have 10 days to pay.
 
6 Refunds
6.1 Where I agree to provide a refund (as described in these Terms) this will be provided back to your original payment method. 
6.2 Refunds will be provided on a discretionary basis.
 
7 Risk and Property 
7.1 The Products shall be your responsibility from the time of delivery.
 
8 Limitation of Liability
8.1 I shall not be responsible nor liable for any losses that result from our failure to comply with these Terms, including but not limited to, losses that fall into the following categories:
8.1.1 loss of income or revenue; 
8.1.2 loss of business; 
8.1.3 loss of anticipated savings; or 
8.1.4 indirect or consequential loss. 
8.5 Although I make every effort to cater for dietary requirements, I am not responsible for allergies or reactions that I haven’t been specifically made aware of with at least 3 weeks notice.
 
9 Data Protection
9.1 Any personal information that we collect to process your order shall be processed in accordance with all applicable laws.
9.2 We keep information such as your name, address, contact details and dietary requirement on a password protected system for up to 3 years after we have ceased providing services to you.
9.3. You reserve the right to request that we remove this information at any time. If you would like to do so, please email me at katrina@missingredient.co.uk and I’ll action this within 7 working days.
 
10 Termination
10.1 Without limiting my other rights, I may terminate or suspend the supply of my services with immediate effect by giving written notice to you if:
10.1.1 you breach these terms.  
10.1.2 I have provided you with credit terms and you fail to pay any amount due for the Products on the due date for payment
 
11 General
11.1 I shall not be responsible nor liable for any delays in performing, or for any failure to perform, any of my obligations hereunder if the delay or failure was due to any cause beyond my reasonable control. 
11.2 If any provision of these Terms is declared by any judicial or any competent authority to be void, voidable, illegal or otherwise unenforceable, it shall be limited or eliminated to the maximum extent necessary so these Terms shall otherwise remain in full force and effect and enforceable. 
11.3 The Confirmation and these Terms contain the entire agreement between you and I and supersede any prior agreement whether written or oral. You acknowledge that you have not relied on any verbal or written representations made by me.
11.4 Any notice given under these Terms shall be validly given if sent by email to such email address as may be given by one party to the other. A notice given under this clause shall be treated as having been received at the time it is sent provided it is sent on a working day or, in any other case, on the next working day. 
11.5 No variation of these Terms shall be binding unless made in writing and signed by you and us. 
11.6 These Terms shall be governed by the law of England and Wales and the courts of England and Wales shall have exclusive jurisdiction to decide any dispute concerning these Terms.

12. Cancellation
12.1 Cancellation received more than 30 days in advance will receive a full refund. 


12.2For cancellations with less than 30 days notice I reserve the right to keep your deposit. For cancellations made with less than 14 days notice I reserve the right to keep full payment.
12.3 In the event that I have to cancel providing the service due to unforeseen circumstances, I will give you as much notice as possible and where I am able will endeavour to recommend another suitable professional to assist. In these circumstances you will receive a full refund.

13. Third Party providers
13.1 Third party providers aren’t associated with myself and come with their own terms and conditions policies which are external to my own.
13.2 On occasions where I take responsibility for these third party providers, note that deposit refunds may be affected.

14. COVID-19
14.1 Due to the ongoing COVID-19 pandemic illness, a positive test, isolation guidance or other factors may cause an interruption to service. In these circumstances normal service may be disrupted or cancelled at short notice.

15. Agreement Binding
